Distance Sales Agreement

This text is the general template of the distance sales agreement for YouReply Manage plans sold online. During purchase, a copy filled in with your selected plan, period and amount is presented for approval and sent to your registered e-mail address; that copy is the agreement between the parties.
1. Parties

1.2 Buyer
The user purchasing the service through the Platform (the "Buyer"). Buyer details are collected during the order process and recorded with the order.
2. Subject of the Agreement
The subject of this agreement is the sale and performance of the digital service purchased electronically by the Buyer through YouReply Manage, and the determination of the parties' rights and obligations.
3. Service and Plans
The plans offered for sale, their limits and VAT-inclusive amounts:

The Enterprise plan is sold under a separate contract. The characteristics of the service are set out on the research flow and pricing pages.
4. Price, Payment and Period
- Prices are shown including VAT (20% VAT); the net amount and the VAT amount are also shown at the payment step.
- Payment is a one-off charge; the selected period (monthly or annual) starts at the moment of purchase and does not renew automatically. Card details are not stored for renewal.
- When the period ends the account returns to the free plan for that product and project content is not deleted. If the free plan's active project limit is exceeded, no new project can be created while existing projects stay open.
- If a new purchase is made before the period ends, the new period starts at that moment and the remaining days are not carried over.
- Payment methods: credit or debit card (iyzico infrastructure; instalment options depending on the card) and bank transfer. With a bank transfer the plan is activated once the payment is confirmed.
- Paid plans include a 14-day free trial; no credit card is required and no automatic charge is made at the end of the trial. The trial can be used once per product.
5. Performance
The digital service is made available immediately once a card payment is approved; with a bank transfer the plan is activated after the payment is confirmed. The service stays active on the Buyer's account for the duration of the selected plan.
6. Right of Withdrawal
A Buyer who qualifies as a consumer has, as a rule, the right to withdraw within fourteen days in distance contracts. The exceptions listed in Article 15 of the Regulation on Distance Contracts are reserved; services performed instantaneously in electronic form and services whose performance has begun with the Buyer's consent before the withdrawal period expires fall within that scope.
For that reason, at the purchase step the Buyer is asked for three separate confirmations: that the preliminary information form has been read, that this agreement is accepted, and that performance is requested to begin before the withdrawal period expires. Each confirmation is recorded with the order separately.
Separately from the statutory right of withdrawal, the Seller's voluntary refund policy applies.
7. Obligations of the Parties
- The Buyer is responsible for the accuracy of the order details and for the security of the account.
- The Buyer is responsible for the lawfulness of the content entered into the Platform and for having a legal basis for processing it.
- The Seller is responsible for delivering the service in line with the agreement and for announcing planned maintenance in advance.
- The Seller may suspend the account in the event of a breach of the terms of use; no refund is made for the remaining period in that case.
8. End of Period
When the period ends the account returns to the free plan and project content is not deleted. If the free plan's active project limit is exceeded, no new project can be created. A Buyer who wishes to continue makes a new purchase for a new period.
9. Protection of Personal Data
The principles for processing personal data are set out in the Privacy Policy. As controller, the Buyer is responsible for its own obligations regarding the personal data transferred to the Platform.
10. Evidence Agreement
In disputes between the parties, the Seller's system and order records constitute evidence under Article 193 of the Code of Civil Procedure no. 6100.
11. Dispute Resolution
The applicable law is that of the Republic of Türkiye. For a Buyer who qualifies as a consumer, the Consumer Arbitration Committees and Consumer Courts at the consumer's place of residence or where the transaction took place have jurisdiction, within the monetary limits announced by the Ministry of Trade. For a Buyer who is not a consumer, the Ankara Courts and Execution Offices have jurisdiction.
12. Effective Date
The agreement takes effect on the date it is approved electronically by the Buyer. The approved copy is stored with the order record and sent to the registered e-mail address.
